Ex-Jones Day Partners Launch Transactions Firm


Law360, Los Angeles (June 14, 2016, 7:48 PM ET) — Two of Jones Day's former partners and an associate on Tuesday said that they had formed Haddad Everhard & Shen LLP, a boutique firm focusing on corporate and transactional legal matters and serving clients in industries including health care, retail, media and entertainment and technology. HES said in Tuesday's statement that the firm has offices in New York and Los Angeles. Its team includes managing partner Mark Haddad and partner Conrad Everhard, both former partners at Jones Day, as well as partner Sara Shen, who previously worked for Stradling Yocca Carlson & Rauth and is fluent in Mandarin. HES said that its other areas of focus include energy and infrastructure,real estate and construction, financial services, investment management, chemical and pharmaceutical, manufacturing, hospitality, food and beverage, fashion and retail, life sciences, cross- border transactions and foreign direct investments. Haddad said in the statement, "We are a law firm reimagined, delivering big firm quality lawyering on an innovative client-driven platform priced far below comparably qualified firms. We work hard to understand the industries in which we work and the issues and challenges they face from a business and legal perspective." HES' team has deep background handling cross-border transactions and foreign direct investments, according to the statement. The firm is representing multinational corporations and financial institutions in the Asia-Pacific Region and acting for Asian-based companies on outbound transactions globally and U.S. regulatory matters, HES said. "We believe that knowledge of regulatory regimes, cultural customs and business practices are keys to effectively represent clients on international matters," Shen said. "Our extensive experience with Chinese private and state-owned enterprises with international investment objectives facilitates introductions of prospective buyers to sellers of U.S. companies." Haddad earned a BS in accounting, magna cum laude, from the University of Arizona, then obtained his JD, cum laude, from Duke University School of Law, according to his HES biography. He started his career as a certified public accountant at PricewaterhouseCoopers LLP, worked as an associate at Sullivan & Cromwell LLP and then as a banker at Goldman Sachs Group Inc., his biography said. Haddad then served a partner and co-chair of the global project finance practice at Jones Day for eight years and was managing director and general counsel to DKR Oasis Management Company LP. Haddad concentrates on corporate, securities and financial matters, including U.S. and international mergers and acquisitions, joint ventures and strategic alliances and corporate governance, according to his HES biography. Everhard earned a BSFS in foreign service from Georgetown University, then obtained his JD, cum laude, from Seton Hall Law School, according to HES' website. He worked for more than two decades for New York firms, including Jones Day and Bryan Cave LLP. He served for multiple years as general counsel and a key member of the management team of AE Polysilicon, a solar startup that raised more than $200 million from several strategic investors, then worked for three years as a partner at VLP Law Group, according to his HES biography. Everhard advises clients in complex capital and intellectual property-driven transactions, with a particular focus on mergers and acquisitions, venture capital and private equity transactions, HES1 website said. He also has significant experience with transactions involving the commercialization and monetization of intellectual property and innovation, including negotiating license, joint venture, technology collaboration, research and development and industrial collaboration agreements. Shen earned a BA In international relations from Peking University, then obtained her JD, summa cum laude, from the University of Cincinnati College of Law. She previously served as an associate at Jones Day, Heller Ehrman LLP and Baker Botts LLP, a senior associate at Baker & McKenzie LLP, and of counsel at Stradling Yocca Carlson & Rauth PC, according to her Linkedln profile. She advises clients on complex foreign direct investments and joint ventures, cross-border M&A, technology licensing and regulatory and compliance matters involving China, according to her HES biography. Her domestic practice revolves around formation work for private equity funds and corporate and transactional work for clients in industries including pharmaceutical, entertainment, media and technology, renewable energy, oil and gas, power and manufacturing, HES' website said. Haddad and Shen formed Haddad & Shen LLP in January, according to HES' website. After Everhard joined the firm last month, they changed the name of the firm to Haddad Everhard & Shen LLP. Everhard said in Tuesday's statement, "Our model is not premised on leveraging junior attorneys. Instead, we utilize advanced technology solutions and best practices while employing a low overheard cost platform, to deliver cost-effective, exceptional services to clients."
