Private Equity and Fund Formation
Flatiron represents private equity firms in connection with all aspects of their businesses, including structuring and forming fund sponsors and their investment funds and executing portfolio transactions, including acquisitions, financings and exit transactions. We also provide general corporate, securities and financing advice to portfolio companies.
Types of funds we have represented include buyout funds, merchant banking funds, venture capital funds, mezzanine funds, “special situation” funds, real estate and other asset-backed funds, distressed debt funds and infrastructure or project finance funds, as well as funds of funds and “secondary funds”, which are private funds that purchase private fund interests from existing investors in the secondary market.
We understand that in connection with the marketing of a private equity fund, prospective investors demand and generally receive much more individualized attention and personized service than retail investors in public funds.
We also recognize that the legal aspects of deal-making constitute perhaps 5% of the transaction - the main game is post-acquisition integration (for a strategic acquiror) and operation (for a private equity firm). Accordingly, our goal to encourage a smooth, non-adversarial deal process with seamless hand-off to running the business and increasing value. We use a pricing and business model that is deleveraged and success-based, thus fostering results, not billable hours.
